01Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of the Uniffy mobile application, the hosted service at cloud.uniffy.io, and related websites and services that link to these Terms (together, the "Service"). The Service is provided by Uniffy Labs ("Uniffy", "we", "us", or "our").

By creating an account, installing the app, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization, and "you" includes that organization.

02Who we are

The Service is operated by Uniffy Labs. You can reach us at support@uniffy.io for any question about these Terms, your account, or the Service.

Uniffy is also available as self-hosted software that an operator runs on their own infrastructure. When you use a self-hosted deployment that you or your organization runs, that operator is responsible for the service and for its own terms. These Terms apply to the app and to the hosted service that we operate.

03Beta and pre-release software

You use the beta at your own risk. Do not rely on the beta as the sole store for information you cannot afford to lose, and keep your own backups of anything important. If you send us feedback, bug reports, or suggestions, you grant us a non-exclusive, worldwide, royalty-free license to use them to improve the Service, without any obligation to you.

04Eligibility and accounts

You must be at least 16 years old to use the Service. If the law where you live sets a higher age of digital consent, you must meet that age. The Service is not directed to children.

You are responsible for the accounts you create, for keeping your login credentials secure, and for all activity that happens under your account. Tell us promptly at support@uniffy.io if you believe your account has been accessed without your permission.

05The Service

Uniffy is a unified workspace for notes, files, chat, projects, tasks, calendar, diagrams, calls, rooms, and AI assistants, where content can be referenced from anywhere. Access to content is controlled by the permissions you set. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business or personal purposes, subject to these Terms.

We may set reasonable technical limits, such as storage, request rate, or AI usage limits, and we may change them. We may release updates to the app and the hosted service from time to time.

06Acceptable use

You agree not to, and not to allow anyone else to:

• use the Service to break the law or to infringe the rights of others;
• upload or share content that is illegal, harmful, or that you have no right to share;
• attempt to access accounts, data, or systems that you are not authorized to access;
• interfere with, overload, or disrupt the Service, or bypass its security or usage limits;
• reverse engineer the hosted service except to the extent this restriction is prohibited by law;
• use the Service to send spam, malware, or to harass or abuse others.

We may remove content or suspend access that we reasonably believe violates these Terms or puts the Service or other users at risk.

07Your content

You keep all rights to the content you create, upload, or store in the Service ("Your Content"). We do not claim ownership of it. You grant us a limited license to host, store, back up, transmit, and display Your Content only as needed to operate and secure the Service and to provide it to you and the people you share it with.

We do not sell Your Content, and we do not use it to train AI models. You are responsible for Your Content and for having the rights needed to store and share it. How we handle personal data is described in our Privacy Policy.

08AI features

The Service includes AI assistants. When you use them, the content you send to an assistant may be processed by the model provider you choose or by a self-hosted model, in order to generate a response. Every action an assistant takes on your behalf runs under your permissions, so an assistant cannot access content that you cannot access.

AI output can be wrong, incomplete, or misleading. You are responsible for reviewing AI output before you rely on it, and you should not treat it as professional advice.

09Fees and paid plans

The beta is currently offered free of charge. We may introduce paid plans in the future. If you choose a paid plan, we will show the price and billing terms before you buy, and any purchase you make through the Apple App Store or Google Play is also subject to that store's payment terms. Taxes may apply. Support subscriptions for self-hosted deployments are sold under a separate agreement and are not governed by these Terms.

10Our intellectual property

The Service, including the Uniffy name, logo, and software, is owned by Uniffy Labs and its licensors and is protected by law. Except for the rights we grant you in these Terms, we reserve all rights. The Uniffy source code is published separately under the Functional Source License (FSL-1.1-Apache-2.0), with each release irrevocably converting to the Apache License 2.0 two years after it is published. Nothing in these Terms limits any rights that the source license grants you in that code, including the right to self-host it free of charge with no user limit.

11Mobile apps and app stores

You may download the Uniffy mobile app from the Apple App Store or Google Play. Your use of the app must follow the usage rules of the store you downloaded it from, and the following terms apply.

Apple App Store

If you download the app from the Apple App Store, you acknowledge and agree that:

• these Terms are between you and Uniffy Labs only, and not with Apple. Apple is not responsible for the app or its content;
• Apple has no obligation to provide any maintenance or support for the app;
• if the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the app to you, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the app;
• Uniffy Labs, not Apple, is responsible for addressing any claims relating to the app, including product liability, legal or regulatory claims, and claims that the app fails to meet a legal or consumer requirement;
• Uniffy Labs, not Apple, is responsible for investigating and resolving any third-party claim that the app infringes that party's intellectual property rights;
• you represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties;
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Google Play

If you download the app from Google Play, your use of the app must also comply with the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for the app.

12Third-party services

The Service may connect to third-party services, such as AI model providers, storage, or mail providers. Those services are governed by their own terms and privacy practices, and we are not responsible for them. Your choice to connect a third-party service is yours.

13Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error free, or secure, which is especially true during the beta. Nothing in these Terms limits any rights you have that cannot be limited under the law that applies to you, including mandatory consumer rights.

14Limitation of liability

To the maximum extent permitted by law, Uniffy Labs and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service is limited to the greater of the amount you paid us for the Service in the three months before the event giving rise to the claim, or fifty euros (EUR 50). Some laws do not allow certain limitations, so some of these may not apply to you.

15Indemnification

To the extent permitted by law, you agree to defend and indemnify Uniffy Labs against third-party claims, damages, and reasonable costs that arise from your misuse of the Service, your violation of these Terms, or Your Content, to the extent the claim is caused by you.

16Suspension and termination

You may stop using the Service at any time and may delete your account. We may suspend or end your access if you materially breach these Terms, if required by law, or if we discontinue the Service. When your access ends, the license we grant you ends. Sections that by their nature should survive, such as content ownership, disclaimers, liability limits, and governing law, will survive.

17Changes to these terms

We may update these Terms as the Service evolves. If we make a material change, we will take reasonable steps to let you know, for example by posting the updated Terms here with a new effective date or by a notice in the app. Your continued use of the Service after the change takes effect means you accept the updated Terms.

18Governing law and disputes

These Terms are governed by the laws of Bulgaria, without regard to its conflict of law rules, and subject to any mandatory consumer protection law of the country where you live. You and Uniffy Labs agree to the exclusive jurisdiction of the courts of Sofia, Bulgaria for any dispute that is not resolved informally, unless mandatory law gives you the right to bring the dispute in the courts where you live.
